Took your advice and dropped the fight on processing fees and he dropped the price further to match what I was looking for. How does this look now? (The price includes the $1750 incentive, acquisition fee upfront, Tax upfront, not including the first monthly payment nad using 7 MSDs which will add up to additional $4900).

It's better than the last offer. If you are doing the shopping, you'll have to decide if it's good enough.
