What should my target price be? Leasing BMW 535d.

I am looking to buy a BMW 535d - xdrive.

MSRP is $70540 (Luxery line, Sapphire blue, Cold Weather Package, Premium, Driver Assist, Multi-Contour seats, Harmon-Kardon, extended USB/Bluetooth and side/top cameras)

Currently its offered to me for $64450, about $1100 under invoice. I feel that they should be able to go down to $64000, is that a reasonable expectation?
They are giving me the standard MF of 0.00130 (down to 0.00081 with MSDs)

The first dealership I talked to was at $66500 for the same car and marked up the MF to 0.0017 (0.00121 with MSDs) so clearly the second dealer is much closer to the pin, though I don't know what he'd give me for my trade yet (2011 Acura MDX Tech+Entertainment), the first dealer low-balled that one too.

I am currently waiting for my first dealer to get back to me after I sent what I thought was a fair price ($64000 and $2k more for my trade, as well as asking for standard MF). I am just trying to get a good feel for what is a proper expectation, the 535d does carry a total of $2500 in rebates right now (holiday credit + eco credit)

Would love any input on how to best handle the negotiations, this will be my first new BMW, and I am excited!

    At $64K selling price, and $64,725 CAP cost (with acq.fee), you'd be at $767/mo.+tax.
    I'd stick with the 2nd dealer.. if the 1st dealer is $2000 higher and adding financing mark-ups, then he is way, way behind. You don't have to let the 2nd dealer know that you've eliminated the competition, but the 1st dealer seems like a waste of time.

    A $70K 5-Series diesel from last year is a car they probably want to move.. Stick to it. But, make sure you are realistic about the value of your Acura.

    He quoted me $741/month inclusive of tax for that lease - I am waiting for him to send me the full set of numbers on Monday. I believe I have pretty realistic expectations of the value of my Acura, if it covers my MSDs and up-front costs in addition to the payoff amount I'll be content, that will be putting the trade-in value on the low end of the 'good' condition of what Edmunds/kbb puts at the trade-in value of it.

    What I am mostly curious about is if I should counter his offer, or if his offer is a very good one and I should be content ;)

    I would always ask for a little more off..
