Buying a 2013 CPO Audi A4

I'm looking to buy a 2013 CPO Audi A4 (base model), and so far these are my options:

Car with 44K miles - Online Price $23,750 and Out the Door Price $26,216 (KBB CPO @ $26,597)
Car with 22K miles - Online Price $26,914 and Out the Door Price $29,914 (KBB CPO @ $28,600)

The difference between both cars seem to be about 3K. My questions are, 1) are 22K miles worth the extra 3K and 2) are either of these decent deals to work with, or can I reasonably ask for lower price?

    How does the CPO warranty work? If it's capped at 100K, then you have less miles to work with on the car with 44K miles on it.

    About 6 cents per mile more for the car with 22K on it.
