It's strange how they added and then later subtracted the grad rebate of $500. The sales rep said it was added in the incentives and he had to do it this way so I get taxed correctly.
Does this look good or can I do better?

Is the $3054 the dealer's discount from MSRP?
They are right about the $500 incentive, but you have to deduct it from the CAP cost, as well. If you use $38,671 for the adjusted CAP, the payment is correct.
Looks like a good deal. I'd roll the tax and the acquisition fee into the CAP cost.
That would lower the out of pocket to about $600, and result in a payment of $457/mo.
