Looks I screwed up the quoting of messages...
But if I get the same offer from two dealers but one has me paying all the fees upfront and one has the fees baked into the monthly payment, I should go with the one paying fees upfront as that just protects me from a loss on money in the car is stolen or totaled?

So I called the dealer and he wouldn't specify the breakdown because he said it doesn't matter because of the Gap insurance (when I gave him the example of driving off the lot and totaling the vehicle). Said it's to pay for 1st month and just a reduction to lower the monthly payments.

Another update (sorry for being annoying).
Another dealer quoted at $394/mo at 36mo/12k with 3k down. This one has the selling price at $ 36040. The only thing not included is the licence plate because they say the Minnesota DMV's website crashed and is reporting bad numbers.

So I have two offers, both with MSRPs of 40755, for 36mo/12k.
1st offer:
Selling price: $35,599
Drive off down payment: $3000
Monthly payment: $400

2nd offer:
Selling price $36040
Drive off down payment: $3000
Monthly (w/o licence) $394

I have to assume the 1st offer is better based on selling price?

Yes, you want to negotiate the selling price, as that will make the biggest difference in the monthly payment.

Ask them to give you a quote with only $1000 due at signing....

$1279 Drive Off (includes 1st month)
$544 monthly payment + tax
$48,115 MSRP
$42,850 agreed upon price + $595 acquisition fee = $43,445 Gross Cap Cost

I thought it was a fair deal and one of the few SoCal dealerships that don't push any dealer add-ons. Had a terrible experience at Culver City Honda which tried to add $1,600 of add-ons. I worked with Frankie at Airport Marina Honda. "Comparable" trim for a Pacifica was much cheaper and they could offer 36/10 but after talking to a family member who has owned both, he said the Odyssey was worth the premium.
